1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Teamz360 LLC ("Company," "we," "our," or "us"), governing your access to and use of Docraz (the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Service Description

Docraz is a cloud-based document management and Optical Character Recognition (OCR) platform that provides:

• Document upload, storage, and organization
• OCR processing to extract text from images and documents
• Team collaboration and document sharing features
• API access for integration with other applications
• Export and download capabilities

Features and usage limits vary by subscription plan. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

3. User Accounts

3.1 Account Registration

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the accuracy of this information.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Account Requirements

• You must be at least 16 years old to create an account
• You may not create multiple accounts for abusive purposes
• Business accounts must be registered by authorized representatives

4. Subscriptions & Billing

4.1 Subscription Plans

We offer various subscription plans with different features and pricing. Plan details are available on our Pricing page.

4.2 Payment Terms

• Payments are processed securely through Stripe and PayPal
• Subscriptions are billed in advance on a recurring basis (monthly or annual)
• All fees are exclusive of applicable taxes unless stated otherwise
• You authorize us to charge your payment method for all fees due

4.3 Price Changes

We may change subscription prices with at least 30 days' notice. Price changes will apply at your next renewal period.

4.4 Failed Payments

If a payment fails, we will attempt to collect payment for up to 14 days. If payment cannot be collected, your account may be downgraded or suspended.

5. Refunds & Cancellations

5.1 Refund Policy

We offer a 30-day money-back guarantee for new subscriptions. If you are not satisfied with the Service within the first 30 days of your initial subscription, you may request a full refund.

Refund requests must be submitted to [email protected] within 30 days of the initial purchase. Refunds are not available for:

• Subscription renewals (only initial purchases qualify)
• Partial months or unused portions after 30 days
• Accounts terminated for Terms violations

5.2 Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting support. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• You will not be charged for subsequent periods
• No prorated refunds are provided for unused time (except within the 30-day guarantee period)
• Your data will be retained for 90 days after cancellation, then permanently deleted

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. Acceptable uses include:

• Processing documents you own or have permission to process
• Business and personal document management
• Collaboration with authorized team members
• Integration via our API within published rate limits

7. Prohibited Activities

You agree NOT to engage in any of the following prohibited activities:

7.1 Illegal Content & Activities

• Upload, process, or store any content that violates applicable laws
• Process documents containing child exploitation material (CSAM)
• Use the Service for fraud, money laundering, or terrorist financing
• Process stolen, forged, or illegally obtained documents
• Infringe on intellectual property rights of others

7.2 Harmful Content

• Upload malware, viruses, or malicious code
• Distribute spam, phishing materials, or deceptive content
• Process content that promotes violence, hatred, or discrimination

7.3 Service Abuse

• Attempt to bypass usage limits or security measures
• Reverse engineer, decompile, or disassemble the Service
• Use automated tools to scrape or extract data beyond API limits
• Interfere with or disrupt the Service or its infrastructure
• Access accounts or data belonging to other users
• Resell or redistribute the Service without authorization

7.4 Regulatory Compliance

• Process documents in violation of export control laws
• Use the Service from embargoed countries or regions
• Process data that violates HIPAA, GDPR, or other data protection regulations without appropriate safeguards

Warning: Violation of these prohibitions may result in immediate account termination without refund, and may be reported to appropriate authorities.

8. Intellectual Property

8.1 Our Intellectual Property

The Service, including its design, features, code, trademarks, and content created by us, is owned by Teamz360 LLC and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without written permission.

8.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purposes during your subscription period.

9. User Content

9.1 Ownership

You retain all ownership rights to the documents and content you upload to the Service ("User Content"). We do not claim ownership of your User Content.

9.2 License Grant

By uploading User Content, you grant us a limited license to process, store, and display your content solely for the purpose of providing the Service to you.

9.3 Your Responsibilities

You are solely responsible for:

• Ensuring you have the right to upload and process all User Content
• The accuracy and legality of your User Content
• Maintaining backups of important documents

10. Service Level Agreement (SLA)

10.1 Uptime Commitment

We commit to maintaining 99.95% uptime for the Service, calculated on a monthly basis. This excludes scheduled maintenance and circumstances beyond our reasonable control.

10.2 Scheduled Maintenance

We will provide at least 24 hours' notice for scheduled maintenance that may affect Service availability.

10.3 SLA Credits

If we fail to meet the uptime commitment, you may be eligible for service credits upon request. Credit amounts are determined based on the duration and severity of the outage.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties that the Service will be uninterrupted or error-free
• Warranties regarding the accuracy of OCR results
• Warranties against data loss or security breaches

OCR technology has inherent limitations. We do not guarantee 100% accuracy in text extraction. You should verify critical information extracted from documents.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR LOSS OF DATA, PROFITS, REVENUE, OR BUSINESS OPPORTUNITIES

Some jurisdictions do not allow certain limitations of liability. In such cases, our liability is limited to the minimum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Teamz360 LLC, its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription and deleting your account through the settings page.

14.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms or our policies
• Engage in prohibited activities
• Fail to pay fees when due
• Pose a security risk to the Service or other users

14.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• We may delete your data after the retention period (90 days)
• Provisions that should survive termination will remain in effect

15. Governing Law & Disputes

15.1 Governing Law

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

1. Informal Resolution: Contact us first to attempt to resolve the dispute informally.
2. Mediation: If informal resolution fails, disputes will be submitted to mediation.
3. Arbitration or Court: If mediation fails, disputes shall be resolved in the courts of Wyoming.

15.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions or class arbitrations.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending email notification to registered users
• Displaying a notice within the Service

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.
